By accessing or using NotionAlpha's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. NotionAlpha, LLC ("NotionAlpha," "we," "our," or "us") is a Delaware registered company.

2. Description of Service

NotionAlpha Clarity provides an AI observability and cost optimization platform that enables organizations to:

• Monitor AI model usage and performance in real-time
• Track and optimize AI-related costs
• Analyze API requests and responses
• Generate insights and analytics on AI operations

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization to use the Service.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Invite-Only Access

During our private beta phase, access to the Service is by invitation only. We reserve the right to approve or deny access requests at our sole discretion.

4. Acceptable Use

5. Data and Privacy

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with or without notice.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTIONALPHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless NotionAlpha from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court.

These Terms constitute the entire agreement between you and NotionAlpha regarding the Service.
